Terms of Use

By accessing or using SERVIRIS services, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into this Agreement, and if acting on behalf of a business entity, have the authority to bind such entity to these Terms.

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Material changes will be communicated via email to the address associated with your account or through a prominent notice on our platform. Your continued use of SERVIRIS following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates.

If you do not agree to any modified Terms, your sole remedy is to discontinue use of SERVIRIS and terminate your account pursuant to Section 12 herein.

SERVIRIS provides a software-as-a-service (SaaS) digital menu management platform designed for restaurants, cafes, bars, hotels, and other food service establishments. Our services include, but are not limited to:

• Digital menu creation, customization, and management tools
• QR code generation and visual customization features
• Multi-language support and translation capabilities
• Allergen and dietary information display features
• Guest pricing and dynamic pricing functionalities
• Analytics, reporting, and business insights

SERVIRIS reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

To access SERVIRIS, you must create an account by providing accurate, current, and complete registration information. You agree to:

• Provide truthful, accurate, and complete information during registration and maintain its accuracy
• Maintain the confidentiality of your account credentials and not share them with any third party
• Accept full responsibility for all activities that occur under your account
• Immediately notify SERVIRIS of any unauthorized access or security breach
• Ensure that you log out of your account at the end of each session

SERVIRIS shall not be liable for any loss or damage arising from your failure to comply with these security obligations. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4.1 User-Uploaded Content

By uploading any content to SERVIRIS, including but not limited to product images, menu photographs, logos, brand materials, descriptions, and any other media ("User Content"), you represent and warrant that:

• You own all rights to such content OR have obtained all necessary licenses, permissions, and consents from the rightful owner(s)
• The content does not infringe upon any copyright, trademark, patent, trade secret, or other intellectual property rights of any third party
• You have obtained all necessary releases and permissions from any individuals depicted in photographs or images
• The content does not violate any applicable laws, regulations, or third-party rights

4.2 Disclaimer of Liability for User Content

SERVIRIS DOES NOT CLAIM OWNERSHIP OF USER CONTENT AND ASSUMES NO RESPONSIBILITY FOR VERIFYING THE LEGALITY, ACCURACY, OR APPROPRIATENESS OF ANY CONTENT UPLOADED BY USERS. We do not pre-screen, monitor, or edit User Content, and we are under no obligation to do so.

SERVIRIS expressly disclaims all liability for any claims, damages, losses, costs, or expenses (including legal fees) arising from or related to User Content that infringes upon intellectual property rights, privacy rights, publicity rights, or any other rights of third parties.

4.3 Copyright Infringement Claims (DMCA)

If you believe that your copyrighted work has been uploaded to SERVIRIS without authorization, please contact us immediately at support@serviris.com with the following information:

• Identification of the copyrighted work claimed to be infringed
• Identification of the allegedly infringing material and its location on SERVIRIS
• Your contact information (name, address, telephone, email)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

4.4 Indemnification for User Content

You agree to indemnify, defend, and hold harmless SERVIRIS, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your User Content or any breach of the representations and warranties set forth in this Section.

4.5 License Grant to SERVIRIS

By uploading User Content, you grant SERVIRIS a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute such content solely for the purpose of providing and improving our Services. This license terminates upon deletion of your content or account, except as required to maintain backup copies or as required by law.

4.6 SERVIRIS Intellectual Property

All content, features, functionality, design elements, software, trademarks, service marks, logos, and trade names of SERVIRIS are the exclusive property of SERVIRIS and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. No right, title, or interest in any SERVIRIS intellectual property is transferred to you by these Terms.

5.1 Establishment Responsibility

The food service establishment ("Business") using SERVIRIS is solely and exclusively responsible for:

• The accuracy, completeness, and truthfulness of all allergen information entered into the system
• Regularly updating allergen information when recipes, ingredients, or suppliers change
• Ensuring compliance with all applicable food safety and allergen disclosure laws and regulations
• Training staff to handle allergen inquiries and cross-contamination risks
• Informing customers about potential cross-contamination in the kitchen

5.2 Customer Responsibility

Customers with food allergies, intolerances, or dietary restrictions are strongly advised to:

• Always inform staff about any allergies or dietary requirements before ordering
• Request confirmation directly from kitchen staff or management about ingredients
• Ask about cross-contamination risks in food preparation areas
• Not rely solely on digital menu information for life-threatening allergy decisions

5.3 Complete Disclaimer of Liability

SERVIRIS EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY for allergic reactions, illness, injury, death, or any other harm arising from or related to:

• Inaccurate, incomplete, or outdated allergen information entered by the Business
• Failure of the Business to update allergen information following recipe or ingredient changes
• Cross-contamination in the Business's kitchen or food preparation areas
• Customer's failure to communicate allergies or verify information with staff
• Technical errors, system downtime, or data transmission failures

The allergen tagging feature in SERVIRIS is provided as a convenience tool only and does not constitute medical or dietary advice. SERVIRIS makes no warranties, express or implied, regarding the accuracy or completeness of allergen information.

SERVIRIS is a technology platform and does not participate in food preparation, handling, storage, or service. The Business is solely responsible for:

• Compliance with all local, national, and international food safety regulations
• Accuracy of nutritional information, calorie counts, and dietary claims
• Proper food handling, storage, and preparation practices
• Truthfulness of menu descriptions and ingredient lists
• Compliance with advertising and consumer protection laws regarding menu claims

SERVIRIS shall not be liable for any foodborne illness, health issues, or harm arising from the Business's food products, preparation methods, or regulatory non-compliance.

7.1 Establishment Responsibility

Each Business using SERVIRIS is solely and exclusively responsible for ensuring full compliance with all applicable local, regional, national, and international laws, regulations, and licensing requirements regarding:

• The sale, service, advertising, and promotion of alcoholic beverages
• Age verification procedures for the purchase of alcohol and other age-restricted products
• Obtaining and maintaining all necessary licenses, permits, and certifications required by law
• Hours of operation restrictions for alcohol sales in their jurisdiction
• Advertising restrictions and health warnings required by local regulations
• Responsible service of alcohol practices and staff training requirements

7.2 Platform Limitations

SERVIRIS provides a digital menu display platform only. We do not verify age, check licenses, validate compliance, or monitor the legal status of products displayed on menus created using our platform. The platform does not include age gates, ID verification, or automated compliance checks for alcohol-related content.

7.3 Jurisdictional Variations

Alcohol laws vary significantly between countries, states, provinces, and municipalities. It is the exclusive responsibility of each Business to understand and comply with the specific laws applicable to their location. This includes but is not limited to:

• Minimum legal drinking age requirements
• Restrictions on alcohol advertising and promotional pricing
• Mandatory health warnings and disclaimers
• Prohibition or restrictions on certain types of alcohol
• Religious or cultural restrictions in certain regions

7.4 Other Age-Restricted Products

This section applies equally to tobacco products, cannabis/CBD products (where applicable), energy drinks with age restrictions, and any other products that may be subject to age verification or legal restrictions in your jurisdiction.

7.5 Disclaimer of Liability

SERVIRIS shall not be held liable for any fines, penalties, license revocations, legal actions, damages, or consequences arising from a Business's failure to comply with alcohol or age-restricted product regulations. By using SERVIRIS to display alcoholic beverages or age-restricted products, you acknowledge and accept full responsibility for compliance with all applicable laws.

8.1 Free Trial

SERVIRIS offers a 30-day free trial with full access to all features. No credit card is required during the trial period. At the end of the trial, you must select a paid subscription plan to continue using the Services.

8.2 Subscription Fees

• Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
• All fees are exclusive of applicable taxes, which will be added as required by law
• Annual subscriptions are billed as a single payment for the entire year

8.3 Refund Policy

All subscription fees are non-refundable, except where required by applicable law. Annual subscriptions are not eligible for pro-rata refunds upon early cancellation. You will continue to have access to the Services until the end of your current billing period.

8.4 Price Changes

SERVIRIS reserves the right to modify subscription pricing at any time. Existing subscribers will receive at least 30 days' written notice before any price increase takes effect. Price changes will apply to your next billing cycle following the notice period.

8.5 Payment Failure

If payment fails, we will attempt to charge your payment method multiple times. After 7 days of failed payment, your account may be suspended. After 30 days, your account may be terminated and data deleted. You are responsible for maintaining valid payment information.

You agree not to use SERVIRIS for any unlawful purpose or in any way that could damage, disable, or impair the Services. Specifically, you agree NOT to:

• Violate any applicable local, national, or international laws or regulations
• Upload content that is defamatory, obscene, pornographic, or promotes hatred or violence
• Infringe upon intellectual property rights, privacy rights, or other rights of third parties
• Upload viruses, malware, or other malicious code
• Attempt to gain unauthorized access to SERVIRIS systems, servers, or networks
• Interfere with or disrupt the integrity or performance of the Services
• Use automated systems (bots, scrapers, etc.) to access the Services without permission
• Share, sell, or transfer your account credentials to any third party
• Use the Services in any way that could harm minors
• Misrepresent your identity or affiliation with any person or entity

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

SERVIRIS provides multi-language support to help businesses communicate with international customers. However:

• The Business is solely responsible for the accuracy of all translations, whether entered manually or assisted by automated tools
• Automated translation features are provided as a convenience only and may contain errors
• Critical information (allergens, dietary restrictions, health warnings) should be professionally translated and verified
• SERVIRIS is not liable for any miscommunication, harm, or loss arising from translation errors

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information.

You acknowledge that you are responsible for any personal data you collect from your customers through SERVIRIS (such as through contact forms or analytics). You agree to:

• Comply with all applicable data protection laws, including GDPR where applicable
• Obtain necessary consents from your customers for data collection
• Implement appropriate security measures to protect customer data
• Not use customer data for purposes other than those disclosed to customers

SERVIRIS does not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will meet your specific requirements or expectations

Without limiting the foregoing, SERVIRIS shall not be liable for damages arising from:

• Your use or inability to use the Services
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on the Services
• Any other matter relating to the Services

MAXIMUM LIABILITY: Our total liability to you for any claims arising from your use of SERVIRIS shall not exceed the total amount paid by you to SERVIRIS during the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless SERVIRIS and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees and costs) arising from:

• Your use of the Services
• Your violation of these Terms
• Your User Content, including intellectual property claims
• Your violation of any rights of a third party
• Any allergen-related claims from your customers
• Any claims related to your food products or services

15.1 Termination by You

You may terminate your account at any time by contacting our support team or through your account settings. Termination will be effective at the end of your current billing period. No refunds will be provided for unused portions of your subscription.

15.2 Termination by SERVIRIS

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of subscription fees
• Fraudulent, illegal, or harmful activity
• Request by law enforcement or government agencies

15.3 Effect of Termination

Upon termination, your right to use SERVIRIS will cease immediately. Your data may be deleted within 30 days of termination. We may retain certain data as required by law or for legitimate business purposes. Sections 4, 5, 6, 7, 12, 13, 14, and 16 shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through:

• Good Faith Negotiation: The parties shall first attempt to resolve disputes through informal negotiation for at least 30 days
• Mediation: If negotiation fails, disputes may be submitted to mediation
• Litigation: If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Athens, Greece

Entire Agreement: These Terms constitute the entire agreement between you and SERVIRIS and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: SERVIRIS shall not be liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, government actions, or internet failures.
